Welcome to Larkspur. These Terms and Conditions ("Terms") govern your access to and use of the Larkspur platform, mobile application, website, and related services (collectively, the "Services") provided by Larkspur Ventures LLC ("Larkspur," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Description of Services

Larkspur provides an AI-powered business assistant platform for home service contractors (painters, cleaners, landscapers). Our Services include:

• AI-powered SMS communication with potential customers
• Appointment scheduling and calendar management
• Invoicing and payment processing
• Auto-generated business websites
• Customer relationship management
• Review and reputation management

2. Account Registration

To use our Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

You must be at least 18 years old to use our Services.

3. Subscription Plans and Fees

Larkspur offers various subscription tiers with different features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees. Subscription details:

• Subscriptions are billed monthly in advance
• Fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in service suspension

4. Commission and Payment Processing

Larkspur charges a commission on payments processed through our platform. Commission rates vary by subscription tier and service vertical. Payment processing is handled by Stripe, and you agree to Stripe's terms of service when using payment features.

5. AI-Powered Communications

Our Services include AI-powered features that communicate with your customers on your behalf. By using these features, you acknowledge and agree that:

• The AI assistant will identify itself as an automated assistant
• You are responsible for the accuracy of business information provided to customers
• The AI may escalate conversations to you for complex inquiries
• You retain responsibility for all customer interactions

6. SMS and Communication Terms

Use of our SMS features is subject to our SMS Terms & Conditions. You agree to:

• Comply with all applicable telecommunications laws (including TCPA)
• Only send messages to customers who have consented
• Honor opt-out requests promptly
• Not use SMS features for spam or unsolicited marketing

7. User Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful code or interfere with the Services
• Attempt to gain unauthorized access to our systems
• Use the Services to send spam or unsolicited communications
• Misrepresent your identity or business

8. Intellectual Property

Larkspur and its licensors retain all rights to the Services, including all software, content, trademarks, and other intellectual property. You are granted a limited, non-exclusive license to use the Services for your business purposes.

You retain ownership of your business data and customer information. By using our Services, you grant us a license to use this data to provide and improve our Services.

9. Data and Privacy

Your use of the Services is subject to our Privacy Policy. You are responsible for complying with applicable data protection laws regarding your customers' information.

10. Contractor Websites

If you use our website builder feature, you agree that:

• Content must be accurate and not misleading
• You will not include prohibited or illegal content
• Websites are hosted on Larkspur subdomains
• We may remove content that violates these Terms

11. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Services will cease
• You may export your data within 30 days
• Outstanding fees remain payable
• We may delete your data after 90 days

We may suspend or terminate your account for violation of these Terms.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or secure. AI-generated communications may contain errors or inaccuracies.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LARKSPUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Larkspur and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

15. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Washington State.

16. Governing Law

These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Continued use of the Services after changes constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.
